Legal terms

Springy AB, company registration No. 559311-2997 ('Springy', 'us', 'we', or 'our'), is a marketplace for temporary workspaces ('Services') designed to help businesses and or/individuals ('Guest') to access workspaces with available and registered desks ('Workspace') that are provided by operators of such premises ('Hosts').

These user terms of service (“User Terms”) govern your use of the Services provided by Springy. By accessing, using, or participating in the Services, you (“you”, “your”, or the “User”) agree to be bound by these User Terms that are available on our Website. Additional terms may apply to your use of a specific Service. These additional terms will be available in connection to registration or sign-up of the relevant Service and will become part of your agreement with us if you use that Service.

Google Maps Platform APIs

The Services include Google Maps Platform APIs features and content. Please note that your use of Google Maps is subject to the then-current versions of the: (1) Google Maps/Google Earth Additional Terms of Service at https://maps.google.com/help/terms_maps and (2) Google Privacy Policy at https://www.google.com/policies/privacy/.

Hotjar

We use Hotjar in order to better understand our users’ needs and to optimise this service and experience. Hotjar is a technology service that helps us better understand our users’ experience (e.g. how much time they spend on which pages, which links they choose to click, what users do and don’t like, etc.), and this enables us to build and maintain our service with user feedback. Hotjar uses cookies and other technologies to collect data on our users’ behaviour and their devices. This includes a device's IP address (processed during your session and stored in a de-identified form), device screen size, device type (unique device identifiers), browser information, geographic location (country only), and the preferred language used to display our website. Hotjar stores this information on our behalf in a pseudonymized user profile. Hotjar is contractually forbidden to sell any of the data collected on our behalf. These User Terms consist of General Terms applicable for all Users, Guest Terms applicable for Guests and Host Terms applicable for Hosts.

Please observe that Springy is not a party to any agreements between Guests and Hosts and that any use of a Workspace is governed by the applicable terms and conditions in the relevant agreement between the Guest and the respective Hosts, including but not limited to House Rules (as defined below). If you use a workspace offered by a Host, such Host may require you to accept certain information within the app.

Microsoft Clarity

We partner with Microsoft Clarity and Microsoft Advertising to capture how you use and interact with our website through behavioral metrics, heatmaps, and session replay to improve and market our products/services. Website usage data is captured using first and third-party cookies and other tracking technologies to determine the popularity of products/services and online activity. Additionally, we use this information for site optimization, fraud/security purposes, and advertising. Guest Terms

1. Space listings and transactions between Guests and Hosts

Each Host is fully responsible for the information presented in the app. Springy has no control over and does not guarantee the (i) quality, safety, or suitability of any workspace or Rental Object; or (b) the accuracy of any location, ratings, or reviews. Please note that you should always exercise appropriate due diligence and care when booking a workspace or Rental Object.

2. Availability, Drop-ins and bookings

As a registered User, you may pre-book to access a Workspace provided by Hosts through Springy. The Workspace may offer different workspaces (“Rental Objects”) such as; Desks, ateliers, workshops, studios, hotel lobbies, conference rooms, meeting rooms, collaboration desks, film studios, recording studios etc.

As a registered User, you are required to book to be granted access to a workspace through the Services. The details about a location, including but not limited to applicable fees, are presented in the Springy App as other information about the relevant workspace.

Drop-ins are only available if the Host has confirmed this in their description. Opening hours are displayed in Springy under company descriptions.

Cancellation of a confirmed booking through the Services earlier than and at the latest twenty-four (24) hours prior to the confirmed starting time of the booking can be made free of charge. If you cancel a Rental Object later than twenty-four (24) hours prior to the confirmed starting time of the booking, there will be no refund of applicable fees.

We reserve the right to cancel any bookings at any time due to events such as limitation of workspace availabilities, errors in workspace listings or descriptions (including fees), technical failures or suspected fraudulent or illegal activities.

3. Purchases

Prices for the workspace, and any applicable Service Fee for the use of the Service, will always be available in real-time in the Springy App. Prices for the workspace are always set directly by the Hosts. Note that different Rental Objects can have different prices within the exact workspace. Prices may also vary depending on the Hosts. We reserve the right to change the pricing for Spaces at our sole discretion.

When you complete a Rental (thus becoming a User), you agree to pay the applicable fees and charges and other pricing terms applicable to your use of the Services as specified in these User Terms and as otherwise communicated to you through the Services. All fees and charges paid by the Guest in connection with the Services are non-refundable, except as expressly stated in these User Terms.

When completing a Purchase, you may be asked to supply certain information relevant to the purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or another payment method (s) chosen by you in connection with a purchase; and that (ii) the information you supply to us is accurate, correct and complete. By submitting such information, you grant us the right to provide the information to third parties to facilitate the completion of purchases.

If your Springy account is connected to a Corporate Account, you may be, depending on the features of the Corporate Account, able to choose a different payment model. For the purpose of these User Terms, “Corporate Billing” means that all applicable fees for a purchased Space will be paid to us directly by the Corporation (and you will pay no fees).

Please note that all fees for Spaces are paid by Guests to Springy. A Host may, in its sole discretion and according to the terms and conditions agreed between you and the Hosts, charge for products and services not included in the fee for the workspace, such as fees for food and beverages, printing services etc.

4. House Rules

Each workspace may apply its code of conduct and rules on the use of the workspace (“House Rules”). As a Guest, you must abide by any and all House Rules communicated to you (i) when you book a workspace and (ii) as otherwise communicated to you by a Host.

You may not use the workspace to carry out any illegal activities or use the workspace in violation of applicable law, House Rules, or any other reasonable regulations or rules adopted by the Hosts. Please observe that the Hosts or their authorised representatives are entitled to enter the workspace anytime.

Host Terms

5. Host Service

Springy offers the right for Hosts to share and display your available workspaces on the Springy website and in the Springy app. As a Host, you set the prices for the workspaces you offer for renting through Springy. You are responsible for providing correct and accurate information about your workspaces.

When a Guest confirms a booking, and you accept such a booking, you, as a Host, enter into an agreement directly with the Guest. Springy has no responsibility for the provision of workspaces and is not involved in the contractual relationship between Guest and Host.

6. Pricing and cancellation

As remuneration for the use of the Service, Springy will charge the Host a percentage of the fee paid by the Guest for the workspace, the so-called Service Fee. See further details in section 10 below.

In case of Guest cancellations, the cancellation policy set out in these User Terms applies.

General Terms

7. User Agreement

To be able to use the Services, you must enter into a user agreement with us ( “User Agreement”). The User Terms are an integral part of the User Agreement and any additional terms that may apply (see above under section 1).

You enter into the User Agreement by confirming in the Springy checkout process that you have read and accepted the User Terms and agree to enter into the User Agreement.

Please read the User Terms thoroughly before accepting them and entering into the UserAgreement. You may only use the Services if you agree to every provision of the User Terms.

You must be at least 18 years old and able to enter into legally binding contracts to access and use the Services. By accessing or using the Services, you represent and warrant that you are 18 or older and have the legal capacity and authority to enter into a contract. If you are under 18, we will only accept Transactions from or to your E-account. For more information about the E-account, please refer to section 4 below in these User Terms.

8. Springy Account

To use the Services, you must register a user account with us (“Springy Account”) throughSpringy.se and provide the information requested during the registration process. Your Springy Account is personal and cannot be transferred to another party.

You must provide the correct information when registering your Springy Account and keep the information in your Springy Account current. You are always responsible for ensuring that the information you have provided is correct, complete and accurate.

During registration, you will create your login credentials (“Account Credentials”). You are responsible for keeping your Account Credentials and other Springy Account-related information safe so they remain inaccessible to unauthorised people. The Account Credentials and additional Springy Account-related information are personal and may not be transferred to or used by someone other than you. You acknowledge and agree that you are fully responsible for all activities on your Springy Account.

You agree to immediately notify us of any unauthorised use or suspected unauthorised use of your Springy Account. Springy assumes no liability for any loss or damage arising from your failure to comply with the above requirements.

You may delete your User Account anytime, for any reason, by following the instructions on our Website or within the Springy App. Springy may terminate or suspend your Springy Account in accordance with the provisions in section 17 below. Just uninstalling the Springy App does not terminate your Springy Account.

9. Corporate Account

An organisation that you work for (“Corporation”), either as an employee or as a consultant, may choose to open an account (“Corporate Accounts”) with us. Such Corporation may, in its sole discretion, allow you to connect your Springy Account to its Corporate Account. Depending on the features of the Corporate Account, such a connection of your Springy Account to the Corporate Account can be initiated either by yourself or the Corporation. Whether you are eligible for a Corporate Affiliation and further details about such connection can be found in your Springy Account.

10. Service Fee

As remuneration for the Service ( for the operation of the Service, product development, maintenance and customer support), the Guest and Host shall pay a fee to Springy, as set out in these User Terms.

The applicable Service Fee for the Host is a percentage of the total reservation fee (the “Host Service Fee”). The applicable percentage rate is set depending on several factors, including the reservation type, length of stay, and the property's location. A strict cancellation policy chosen by the Host incurs higher rates (as set out in the Service).

Upon a reservation made by a Guest, Springy collects the total reservation, Service Fee and other applicable fees from the Guest. The reservation amount minus the Service Fee and additional applicable fees is transferred to the Host’s bank account within a few days of the Guest’s check-in date.

Payment processing services are provided byStripe and are subject to the applicable Stripe terms of service. By agreeing to these User Terms, you agree to be bound by the Stripe terms of service, as the same may be modified by Stripe from time to time. As a condition of Springy enabling payment processing services through Stripe, you agree to provide Springy with accurate and complete information about you and your business. You authorize Springy to share transaction information related to your use of the payment processing services provided by Stripe.

A User will be informed of the applicable Service Fee prior to the completion of a booking.

The Service Fee is non-refundable, even if a Guest cancels their reservation unless otherwise stated in the cancellation policy.

11. Prohibited activities

You are solely responsible for compliance with any and all laws, rules and regulations that may apply to your use of the Services. In connection with your use of the Services, you will not and will not assist or enable others to:

  • a breach or circumvent any applicable laws or regulations or these User Terms;
  • use the Services to request, make or accept a booking of a workspace independent of the Services;
  • post any User Content that: (i) is fraudulent, false, or deceptive; (ii) is obscene, pornographic, vulgar or offensive; (iii) promotes discrimination, racism, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person; or (v) promotes illegal or harmful activities or substances;
  • avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by us or any of our providers or any other third party to protect the Services;
  • attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Services; or
  • take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Services.

12. User Content

In our sole discretion, we may enable Hosts and Guest to create, upload, post, send, receive and store content, such as messages, notes, text, information, offerings, images, or other materials and information on or through the Services (“User Content”).

You are solely responsible for the User Content that you upload, publish, display or otherwise provide to Springy for display (hereinafter, 'Post') on or through the Services. You may not Post User Content that you did not create or do not have permission to Post. You understand and agree that Springy may, but is not obligated to, review the User Content and may delete or remove (without notice) any or User Content in its sole discretion, for any reason or no reason.

When you Post User Content to the Services, you grant us an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide licence (with the right to sublicense) to use, reproduce, publicly perform, publicly display, modify, translate, excerpt (in whole or in part), publish and distribute such User Content. We do not claim any ownership rights in any User Content, and nothing in these User Terms will be deemed to restrict any rights that you may have to use or exploit your User Content.

13. Service availability

The Services require you to have a connection to the Internet and/or a mobile phone or tablet. You acknowledge and agree that you are fully responsible for meeting these requirements.

We aim to make the Services available around the clock, seven days a week. We may, from time to time, update the Services and/or take the Website out of use for measures such as maintenance and service and/or security-related issues (“Maintenance”). We reserve the right to restrict or interrupt the Services and the Website for Maintenance provision at any time. Any planned restrictions or interruptions of the Services will, as far as commercially reasonable, be scheduled for times when the use of the Services is typically low. We always try to communicate any planned maintenance in advance but do not warrant that such notification will always reach you.

14. Changes to the Services

We reserve the right to improve, enhance and modify the Services, including but not limited to making changes to operation methods, technical specifications and content, and to introduce new services from time to time.

15. Personal data

All processing of the Guest's Personal Data is carried out in accordance with the General Data Protection Regulation (GDPR). Your personal data will be processed in compliance with applicable data protection legislation. 16. Intellectual properties

Springy and its licensors are the sole owners of all rights, including, but not limited to, all intellectual property rights to (i) the software and the services required for the provisioning of the Services; and (ii) any content that we ourselves make available on or through the Services, including proprietary Springy content and any content licensed or authorised for use by or through Springy from a third party (“Springy Content”). Nothing in these User Terms or the User Agreement shall be construed as transferring any of the aforementioned rights, or parts thereof, to you.

Subject to your compliance with these User Terms, we grant you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license, valid during the term of the User Agreement, to (i) use the Services; and (ii) download and use the Springy App on your mobile device.

You agree not to use, copy, adapt, modify, prepare derivative works of, distribute, licence, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Services or any Springy Content, except or as expressly permitted in these User Terms of Services or by mandatory law. No licences or rights are granted to you by implication or under any intellectual property rights owned or controlled by Springy or its licensors except for the licences and rights expressly granted in these User Terms.

17. Limitation of liability

By accepting the User Terms and entering into the User Agreement, you acknowledge and agree that certain elements of the Services are dependent on your interaction with third parties and that Springy cannot and will not assume any liability for the acts or omissions by such third parties. In particular, you acknowledge and agree with that.

  • Springy is not a party to agreements entered into between Guests and Hosts, and hence that we shall not be liable for any damages or losses relating to such agreements or the Guests’ engagement with Hosts; and
  • Springy does not verify the accuracy, completeness, reliability or authenticity of any workspace descriptions or workspace availability information that hosts provide. We make no representations or warranties concerning such information.

Springy shall not be liable for any direct damages or losses relating to the breach of the User Agreement or your use of the Services, except for cases of Springy’s gross negligence or intentional breach. Springy shall not be liable for any indirect damages or losses, including, but not limited to, loss of business, loss of production, loss of profit, loss of gains and loss of cost-cutting measures, loss of goodwill, nor for any liability for your vis-a-vis a third party of any kind.

Springy’s maximum liability for damages relating to your use of the Services is 50 % of the total yearly fees paid by you (explicitly excluding any fees paid by Corporate Billing) to us for using the Services.

Any cause of action or claim you may have to arise out or relating to the User Agreement, or the Services must be communicated in writing to us within three (3) months from the date you became aware or should reasonably be expected to have become aware of the circumstances which give rise to the claim. Your claim shall be permanently barred if you fail to communicate with us within the aforesaid period.

18. Force majeure

Springy shall not be liable for late, inadequate or omitted performance in accordance with the User Agreement to the extent and during such time that a late, inadequate or omitted performance is to be attributed to circumstances beyond our reasonable control (”Force Majeure”). Any suspended performances are to be resumed as soon as reasonably expected. Circumstances beyond Springy’s control include, but are not limited to, a general strike and other labour or industrial disputes, fires, explosions, flooding, earthquakes, typhoons, epidemics, wars, government measures, new or changed legislation, riots, revolutions, sabotage or adverse weather conditions that we could not reasonably expect to prepare for or otherwise find a way around.

19. Term, termination and suspension

The User Agreement will enter into force by your acceptance of these User Terms and our confirmation thereof and will remain in force until terminated in accordance with these User Terms.

You may terminate the User Agreement at any time by sending a notice to us at the email address on the Mobile app or by terminating your Springy Account. Please note that deleting the Springy App will not terminate the User Agreement.

We may terminate the User Agreement at any time, subject to a notice period of at least one month.

Either party may terminate the User Agreement immediately if the other party commits a material breach of its obligations under the User Agreement or if the other party violates applicable law.

In addition to the above, Springy may, with immediate effect, temporarily or permanently suspend you from the Services and your Springy Account if (i) you do not comply with the User Agreement and the User Terms or if Springy can reasonably assume that this is the case, and (ii) if you have not paid full payment for the use of the Services. A suspension, according to the aforementioned, does not release you from the payment of agreed fees for the Services, nor does it entitle you to a refund of fees paid.

20. Messages, notices and contact

You acknowledge and agree that we may send messages and notices electronically using the contact details provided in your Springy Account.

21. Assignment

You may not assign your rights and/or obligations under the User Agreement. We are entitled to assign our rights and/or obligations under the User Agreement to any legal entity within the Springy group provided that such assignment is not to your significant detriment.

22. Consumer rights

The User Terms do not exclude, limit or otherwise restrict the rights vested with consumers under applicable consumer law and shall not be construed as such.

As a consumer, you are entitled to cancel the User Agreement within 14 days from the day when you enter into the User Agreement. However, your withdrawal rights are forfeited if you use the Services within these 13 days (by using the Service or engaging commercially with us). Regardless of the aforementioned withdrawal rights, you may terminate the User Agreement at any time according to the provisions set out in section 18.

If you, as a consumer, want to claim the Services, you may contact the Swedish National Board for Consumer Disputes (Sw. Allmänna reklamationsnämnden, www.arn.searn.se). If you reside in another country other than Sweden, you may file a complaint online via the European Commission’s mediation platform; please refer to www.ec.europa.eu/consumers/odr.

23. Changes to the User Terms

We may change these User Terms from time to time. Changes will be effective when we post updated User Terms at this location, within the Springy App or in the applicable Service. Your continued access or use of the Services after such posting confirms your consent to be bound by the updated User Terms. Any revisions to these User Terms will become effective the first time you access or use the Services after such changes have been posted. If you disagree with being bound by these User Terms, you are not authorised to use, access or participate in the Services or on the Website. Please review the Springy App periodically for any changes to the Terms.

The current version of the User Terms is always available on the Website. A copy of the current version of the User Terms will be sent to you upon your request.

24. Other services

Other terms and conditions may apply for services not part of the Services (as defined above). Such terms and conditions will be subject to your separate approval and acceptance.

25. Governing law and jurisdiction

The substantive law of Sweden shall govern the User Agreement. The courts of Sweden shall have exclusive jurisdiction over any dispute, controversy or claim arising out of or in connection with the User Agreement or the breach, termination or invalidity thereof.

26. Cross-promotion initiatives

Springy and the hosts agree to engage in mutual promotion through various channels, including but not limited to social media, email marketing, newsletters, websites, podcasts, in-store displays, and joint events. The duration of this promotional commitment shall extend for as long as the host remains listed on the Springy marketplace. Both companies must ensure the cross-promotion aligns with their brand image and values. The promotion should be truthful and not coerced.
